Terms of Service
Last updated: Pending counsel review
1. Introduction
Welcome to Quotrium. By accessing or using the platform you agree to be bound by these Terms of Service. Quotrium provides tools that help property owners and managers draft a Statement of Work (SOW), collect structured quotes from vendors, and compare those quotes. Please read these terms carefully before using the service.
2. Nature of the service
Quotrium organises and compares information you and your vendors provide. It does not price work, and it does not guarantee project outcomes.
Crucial distinction
- Quotrium is a drafting assistant, not an estimator. The platform helps you organise and compare bids. It does not provide authoritative cost estimates, and generated scopes are drafts, not legally binding estimates. Hidden conditions cannot be assessed from photographs.
- User ownership. You retain full ownership of, and ultimate responsibility for, the final Statement of Work produced using our tools. No scope is sent to a vendor until you have explicitly approved it.
3. Vendor database and BYO consent
Quotrium lets you bring your own vendors ("BYO"). Adding a vendor has consequences beyond your own project, and by adding one you acknowledge and agree to the following.
- Vendors you add may be surfaced to other users. When you add a vendor's business details (business name, public contact information, and trade categories), that record may be added to Quotrium's global vendor database and may be shown to, and contacted by, other Quotrium users.
- Every vendor communication carries a one-click opt-out. Any vendor we contact can remove themselves from the database in a single click, without an account and without contacting us.
- Opt-outs are honoured globally and permanently. Once a vendor opts out, they will not be contacted again through Quotrium by any user, on any project, at any time.
- Your commercial information is never shared. Your scopes, photographs, quoted prices, contract terms, and notes remain private to your project. Only the vendor's own business contact details may be surfaced.
You confirm that you are entitled to share the vendor contact details you enter, and that they are business contact details rather than personal ones.
4. Vendor interactions
Quotrium acts solely as a technical intermediary for organising information. We take no part in vetting contractors or service providers.
- No verification. Quotrium does not verify vendor credentials, licensing, insurance status, or workmanship quality. Rankings reflect scope compliance and price only.
- Independent due diligence. Verifying a vendor's credentials before engaging them is your responsibility.
- Off-platform relationship. Contracting, scheduling, payment, and job management happen directly between you and the vendor you select. Quotrium never handles job payments, escrow, or financing.
5. Limitation of liability
To the maximum extent permitted by applicable law, Quotrium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, resulting from your access to or use of (or inability to access or use) the platform, or from the conduct or content of any third party on the platform, including any vendor you engage.
6. User responsibilities
You agree not to use the service to:
- upload or transmit data that is unlawful or harmful, or that infringes the intellectual property rights of others;
- attempt to reverse engineer or disrupt the functioning of the platform;
- misrepresent a Quotrium-generated scope or comparison as a legally binding estimate; or
- add vendor contact details you are not entitled to share, or use the platform to send unsolicited communications.
